Terms of Service

By creating an account, signing in, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

If you have signed a separate written agreement with VoxNexus covering the Services, that agreement takes precedence over these Terms where they conflict.

You sign in to VoxNexus with a third-party account such as Google. You must provide accurate information and keep your account and API keys secure.

You are responsible for all activity that takes place under your account and API keys. Notify us promptly if you suspect unauthorized access.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your own or your organization’s purposes. You agree not to:

• use the Services for any unlawful, fraudulent, or harmful purpose;
• synthesize, clone, or imitate a person’s voice without their consent, or use generated speech to deceive, impersonate, or mislead others;
• infringe the intellectual property, privacy, or other rights of others;
• interfere with or disrupt the Services, circumvent usage limits, or access them by means other than the interfaces we provide;
• reverse engineer, decompile, or attempt to extract the source code or models of the Services, except where applicable law expressly permits it;
• resell or redistribute the Services without our written permission.

"Your Content" means the text, audio, and other materials you submit to the Services, and the results the Services return to you. As between you and VoxNexus, you retain your rights in Your Content.

You grant VoxNexus the rights needed to host, process, and transmit Your Content solely to provide, secure, and support the Services. You are responsible for Your Content and for having all necessary rights and consents for it, including consent from anyone whose voice or personal information it contains.

Paid Services are billed according to the prices published on our pricing page or set out in your order or agreement. Usage is charged against your account balance, which you can top up through our payment provider.

Prices do not include applicable taxes unless stated otherwise. Except where required by law or agreed in writing, payments and account credits are non-refundable. We may change prices with reasonable advance notice; changes do not apply to usage already incurred.

Certain SDKs and on-device offerings, including trial licenses, may be subject to additional license terms or a separate agreement. Where those terms apply, they govern your use of the SDK together with these Terms.

The Services, including their software, models, documentation, and branding, are owned by VoxNexus or its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

If you send us feedback or suggestions, we may use them without any obligation to you.

The Services may rely on or link to third-party services, such as sign-in and payment providers. Your use of those services is governed by their own terms, and VoxNexus is not responsible for them.

The Services are provided "as is" and "as available". To the maximum extent permitted by law, VoxNexus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Speech recognition, synthesis, and translation results are generated automatically and may be inaccurate or incomplete. You are responsible for reviewing results before relying on them, particularly in medical, legal, safety-critical, or other high-risk contexts.

To the maximum extent permitted by law, VoxNexus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.

To the maximum extent permitted by law, VoxNexus’s total liability arising out of or relating to the Services will not exceed the amount you paid to VoxNexus for the Services in the twelve months before the event giving rise to the claim.

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if your use creates a security or legal risk, or if required by law. Where reasonable, we will give you notice in advance.

Sections that by their nature should survive termination, including those on fees owed, intellectual property, disclaimers, and limitation of liability, will continue to apply.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide reasonable notice. Continuing to use the Services after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the jurisdiction in which the VoxNexus entity providing the Services to you is established, without regard to its conflict-of-law rules, unless mandatory law where you live provides otherwise.
